Corporate-Owned Life Insurance (COLI) is a structure in which a corporation owns an insurance policy and is also the beneficiary of a Permanent Life Insurance policy. For high-net-worth business owners, COLI functions primarily as a tax-efficient corporate asset, complementing traditional purposes such as income replacement, key-person coverage, and buy–sell funding. It enables tax-exempt policy growth, creates Capital Dividend Account (CDA) credits, and allows value transfer to beneficiaries with minimal tax exposure.
Canadian-controlled private corporations often retain surplus profits due to lower corporate tax rates on Active Business Income (ABI). Retained earnings invested in taxable passive instruments face high corporate passive income tax and eventual high dividend tax rates upon extraction, creating the “tax grind.” By deploying retained earnings into COLI through holding company, the Cash Surrender Value (CSV) of insurance policy grows tax-free, and at death, the death benefit minus the policy’s Adjusted Cost Basis (ACB) is credited to the CDA. This enables tax-free distribution to shareholders’ estates while potentially reducing deemed disposition tax on corporate shares if operating company shares are eligible for lifetime capital gain exemption.
At SGA Wealth, we integrate COLI into each client’s corporate and estate ecosystem. Policies are structured to maximize CDA credits, preserve corporate liquidity, and align with long-term shareholder, succession, and post-mortem objectives. Our approach ensures COLI operates as a strategic corporate asset, coordinated with trusts, estate freezes, and shareholder value preservation strategies.
We design COLI arrangements that align with corporate tax rates, passive income rules, and shareholder extraction strategies. Our framework includes ACB tracking, policy loan implications, and CDA maximization to ensure the policy functions as a dynamic corporate asset rather than a static insurance product.
At SGA Wealth, we structure participating and universal life policies for optimal tax-exempt accumulation, CSV growth, and corporate efficiency. Funding schedules, ownership structures, and premium sustainability are evaluated to meet future obligations such as estate equalization or redemption funding, enhancing corporate value while controlling taxable events.
COLI is incorporated into post-mortem pipeline planning, share redemptions, and corporate freezes. Death benefits flow efficiently through the CDA, reduce deemed disposition tax on shares, and support liquidity for immediate obligations, ensuring seamless, tax-efficient wealth transfer to beneficiaries.
We structure collateralized lending against policy CSVs for liquidity without divesting corporate assets. Leverage limits, interest deductibility, and loan management are carefully analyzed to maintain tax advantages and corporate balance.
COLI supports buy–sell agreements, key-person coverage, and management succession frameworks. Immediate liquidity for corporate obligations, combined with coordinated share valuation and governance compliance, ensures continuity and stability.
SGA Wealth specializes in corporate estate architecture for high-net-worth business owners, with deep expertise in CDA planning, ACB management, corporate-class structuring, and post-mortem extraction strategies. We assess the entire corporate ecosystem, retained earnings, share classes, corporate holdings, policy structures, and trust obligations, to engineer bespoke COLI solutions that integrate seamlessly with broader tax, succession, and estate objectives.
Our planning is precise and technical, avoiding templates. Tools such as estate freezes, corporate reorganizations, policy leveraging, and pipeline planning are incorporated to maximize tax efficiency and liquidity. Clients choose SGA Wealth because we deliver clarity in areas where tax, insurance, and corporate law intersect, ensuring COLI policies function as intended and create measurable long-term value for shareholders and their families.
